Experience

Jason Coutant is a shareholder at GableGotwals where he practices in the areas of banking and finance and corporate and securities. He assists banks and other financial institutions in structuring and documenting credit facilities and has experience in the commercial and industrial, real estate and real estate construction, Native American (including gaming), oil and gas, and healthcare industries. He also assists companies ranging from privately held businesses to large publicly-traded companies with a variety of matters, including business formation and planning, public and private offerings of securities, SEC compliance, and acquisitions and dispositions.

Banking and Finance

Acted as lead counsel in negotiating loan documentation for the following credit facilities:

Healthcare

  • $150 million secured revolving credit facility to owner/operator of skilled nursing homes
  • $50 million loan facility to a hospital located in Kansas
  • Numerous skilled nursing home loans in Arkansas, California, Florida, Nevada, Oklahoma, Tennessee, and Texas

Oil & Gas:

  • $200 million revolving credit facility to an upstream company with assets in Texas
  • $200 million syndicated revolving credit facility to a subsidiary of a NYSE listed registrant with midstream assets located in Oklahoma, Pennsylvania and Texas

Construction:

  • Construction financing of apartment complexes in Texas, Oklahoma and Tennessee (total financings of $81 million)
  • $80 million advancing term loan to finance construction of a public company’s new corporate headquarters in downtown Tulsa, OK
  • $40 million advancing term loan to finance construction of an apartment complex on Lake Carolyn, Texas
  • $13.5 million construction loan to finance construction of a hotel in downtown Tulsa, Oklahoma

Native American:

  • $400 million syndicated loan facility to the Tulsa, Oklahoma located gaming operations of an Oklahoma based Tribe
  • $86 million syndicated advancing term loans to Native American tribe to finance construction of hospitals and medical buildings
    • $60 million advancing term loan for the construction of a Native American gaming facility located in Northeastern Oklahoma
    • $33 million term loan for the construction of Native American gaming facilities located in Southern Oklahoma
    • $10 million term loan to Native American tribe to finance construction of governmental purpose buildings

    Other:

    • $110 million secured syndicated revolving loan facility to owner and operator of fast food venues located in Oklahoma, Kansas and Missouri
    • Advised Nasdaq listed public company on its $200 million senior secured revolving credit facility
    • Regularly represents borrowers in connection with local counsel legal opinions requested by lenders

    Corporate and Securities

    • Representation of angel funds, venture capitalists and private and public companies with organizational documents such as bylaws and operating agreements
    • Advising clients on buy-out and transfer mechanisms to be built into organizational documents that may be advisable to suit a client’s specific needs
    • Representation of multiple clients that use “Series” limited liability companies to facilitate their organizational structure and investment strategy

    Capital Markets and Securities Offerings

    • Handled numerous Regulation D and Rule 144A unregistered private offerings of securities for clients ranging from small business owners to large companies
    • Assisted with registered offerings of debt and equity, including exchange offers of registered securities for unregistered securities

    Mergers and Acquisitions

    • Represented public purchaser on $80 million acquisition from foreign owned public seller providing maintenance and capital construction services to power generation, integrated iron and steel, and industrial process facilities;
    • Represented investors in restaurants located in Tulsa, Oklahoma, Oklahoma City, Oklahoma and Wichita, Kansas
    • Represented investors in a hydroponic lettuce farm located in the Tulsa, Oklahoma area
    • Represented public purchaser on $8 million asset acquisition from private seller providing industrial cleaning services
    • Represented private seller on $7 million disposition of uniform rental and service business
    • Represented private seller on $50 million disposition of a company in the business of designing, manufacturing, selling and servicing downhole gauges, sensors and related equipment for the oil and gas industry
    • Represented private seller on $17 million disposition of a mud logging company
    • Represented investors in a technology company providing law enforcement (police) with rapid electronic ticketing capabilities
